Drew Erickson

Drew’s practice is focused on all aspects of business law. His practice includes general corporate transactions, contract drafting, entity choice and formation, mergers and acquisitions, and asset protection.

 

    • Entity selection, formation, governance
    • Employment/independent contract agreements, construction documents, building & equipment leases, master services agreements, and intellectual property protection
    • Develop strategies for corporate reorganizations and restructurings
    • Develop capital strategies for start up and existing companies and advise investors on risk of investments
    • Prepare & negotiate securities and disclosures including convertible notes, security purchases, private placement memorandums, and subscription agreements
    • Negotiate and draft documents in residential or commercial real estate sales, purchases, or developments
    • Assist with property inspection, leasing, purchase, and disposition
    • Advise companies employment compliance & discrimination laws to proactively protect their business
    • Advise companies in non-competes, disclosures, intellectual property assignments, compensation plans and termination rights

While earning his Juris Doctorate at South Texas college of Law, Drew served as an Articles Editor for the South Texas Law Review, was inducted into the Order of the Lytae, received the Transactional Law Practice Certificate, and was on the Dean’s List. Prior to joining Rapp & Krock PC, Drew was a judicial intern to Judge Jeff Bohm of the U.S. Bankruptcy Court for the Southern District of Texas and Justice Tracy Christopher at the Fourteenth Court of Appeals in Houston, Texas.

Representative Matters

      • Representation of a Houston-based restaurant chain in connection with the expansion of operations and buyout of members
      • Completed a reorganization and consolidation of multiple entities to minimize liabilities and maximize operations for a service provider of construction companies
      • Performed complete reviews and reforms of the corporate books for an international energy infrastructure testing company and a Houston-based chain of bars
      • Routinely draft and review contracts for corporate clients, including master services agreements, nondisclosure and confidentiality agreements, employment agreements, lease agreements and construction contracts
      • Represented various clients with entity selection process and the drafting and negotiation of formation, governance and buy-sell documents.
      • Performed title and survey reviews on multiple commercial properties
      • Assisted with multiple diligence reviews on corporate merger & acquisition matters
